Terms of Service
Terms of Service
Welcome to MemoVPS Store. These Terms of Service govern your access to our website, the purchase of virtual private server (VPS) hosting services, and your use of any related services we provide.
Please read these terms carefully before placing an order. By creating an account, placing an order, completing a payment, or using our services, you agree to the terms that apply to your use of MemoVPS Store.
1. About MemoVPS Store
MemoVPS Store operates through www.memovps.site and offers VPS hosting products for individuals, developers, businesses, and other customers who need virtual server resources for lawful online projects.
Depending on the product purchased, services may include virtual CPU resources, memory, storage, network connectivity, an assigned IP address, operating system options, and related technical information or setup instructions.
The resources, configuration, billing period, price, and included features applicable to each order are those displayed on the relevant product page and confirmed during checkout.
2. Acceptance of These Terms
By using our website or services, you confirm that you have read and understood these Terms of Service and agree to comply with them, together with any applicable policies referenced on our website.
If you are purchasing services on behalf of a business or another organization, you confirm that you have the authority to accept these terms on its behalf.
If you do not agree to these terms, do not place an order or use the affected services.
3. Customer Accounts and Information
You are responsible for providing accurate, current, and complete information when creating an account, placing an order, and communicating with our support team.
- Keep your account information and email address up to date.
- Protect your account credentials, server passwords, private keys, and access tokens.
- Notify us promptly if you suspect unauthorized access to your account.
- Do not impersonate another person or use false information to obtain services.
- Cooperate with reasonable order verification or security checks when necessary.
You are responsible for activity carried out through your account, except to the extent that applicable law provides otherwise or the activity results from circumstances for which we are responsible.
4. Orders and Service Provisioning
Before submitting an order, review the selected VPS configuration, billing period, applicable charges, and any additional terms shown at checkout.
An order is subject to payment authorization, verification where necessary, and service availability. Submission of an order does not by itself guarantee immediate provisioning.
Provisioning times may vary depending on the selected configuration, operating system, data center, payment verification, and technical requirements. Any estimated delivery time is an estimate unless expressly confirmed otherwise.
If we cannot provide a service that has been paid for and accepted, we will work with you to resolve the issue, which may include an appropriate refund where applicable.
Service specifications are determined by the product description and order confirmation. Any material change to an order should be agreed upon before it is applied.
5. Pricing, Billing, and Payments
Prices, billing periods, and available payment methods are displayed on the relevant product page or during checkout. Unless stated otherwise, charges are payable in advance for the selected service period.
- You authorize payment of the amount shown at checkout when you submit your order.
- You must pay applicable charges by the due date shown on your invoice.
- Taxes, currency conversion, or additional charges will be disclosed where applicable and known at checkout.
- Payment processing may be handled by third-party payment providers under their own applicable terms.
- We may request additional information to review a transaction when reasonably necessary for fraud prevention or payment verification.
A payment receipt or transaction confirmation does not replace the service specifications and billing details in your order confirmation.
If a payment is declined, reversed, or remains unpaid, provisioning may be delayed or an existing service may be restricted in accordance with these terms and applicable law.
6. Renewals, Cancellations, and Expired Services
Your VPS service is provided for the billing period selected at checkout. Renewal arrangements, if available, will be explained during purchase or in your account or invoice information.
Unless a renewal is expressly confirmed, do not assume that a service will renew automatically. Where recurring billing is enabled, the applicable renewal amount, billing interval, and cancellation method should be reviewed before purchase.
You may request cancellation using the available account or support process. Cancellation prevents future renewal when processed in accordance with the applicable billing arrangement; it does not automatically cancel charges already incurred or create a refund entitlement.
Expired, cancelled, or unpaid VPS services may be suspended or terminated. Data stored on a terminated server may be permanently deleted. You should export important files and configurations before the service expires or is cancelled.
7. Acceptable Use Policy
You may use our VPS services only for lawful purposes and in compliance with applicable laws, network rules, software licenses, and third-party rights.
The following activities are prohibited:
- Hosting or distributing illegal content, stolen data, or material that infringes intellectual property rights.
- Phishing, fraud, impersonation, credential theft, malware distribution, or other deceptive or harmful activity.
- Launching or facilitating unauthorized attacks, denial-of-service activity, botnets, or attempts to compromise other systems.
- Sending unsolicited bulk messages, operating abusive mail systems, or engaging in spam-related activity.
- Accessing, scanning, monitoring, or interfering with systems or networks without authorization.
- Attempting to bypass security controls, abuse network resources, or disrupt the availability of services.
- Using the service in a way that violates applicable sanctions, export restrictions, or other legal requirements.
- Reselling, transferring, or using services in a manner prohibited by the applicable product terms.
You are responsible for the applications, files, data, and services you install or operate on your VPS, including compliance with relevant third-party software licenses.
We may investigate credible reports of abuse and take proportionate action where reasonably necessary to protect customers, infrastructure, third parties, or legal interests.
8. Security and Customer Responsibilities
Unless a product description expressly includes a specific management or security service, you are responsible for administering and securing your VPS.
- Install operating system and application security updates.
- Use strong passwords, SSH keys, firewalls, and access controls where appropriate.
- Restrict administrative access to authorized users.
- Monitor server resources, logs, and unusual activity.
- Maintain independent backups of important data and configuration files.
We do not assume responsibility for the security of customer-installed software or customer data merely because it is hosted on a VPS. This does not exclude responsibilities that cannot lawfully be excluded.
9. Data, Backups, and Availability
Backup services, snapshots, disaster recovery, monitoring, and service-level commitments are included only when expressly stated in the applicable product description or a separate agreement.
Unless a backup feature is specifically included, you must maintain your own independent backups. A backup stored only on the same VPS may not be sufficient to recover from server failure, account termination, accidental deletion, or security incidents.
We aim to provide a stable hosting service, but interruptions may occur because of maintenance, network issues, hardware or software failures, security incidents, or circumstances outside our reasonable control.
We do not promise uninterrupted availability, a specific uptime percentage, a particular network route, or guaranteed performance unless a specific commitment is expressly included in a separate applicable agreement.
10. Refunds and Payment Disputes
Refund eligibility is governed by the refund policy displayed on our website and any applicable terms presented before purchase. Please review that policy before placing an order.
Where a refund is available, requests may be subject to eligibility requirements, verification, the applicable request period, and the nature of the issue. A refund is not guaranteed merely because a service has been activated or a customer changes their mind.
If you believe that you have been charged incorrectly, charged more than once, or paid for a service that was not provided, contact us through our Contact Us page with your order or transaction details so we can investigate.
We encourage customers to contact us first so that billing questions and service issues can be reviewed promptly. This does not limit any rights you may have under applicable law or any applicable payment-provider dispute process.
Approved refunds will generally be returned through the original payment method where reasonably possible and subject to payment-provider processing. Actual processing times may depend on the provider or financial institution.
11. Suspension and Termination
We may restrict, suspend, or terminate access to a service when reasonably necessary, including where:
- Payment is overdue or a transaction is subject to a legitimate verification concern.
- There is credible evidence of fraud, abuse, unlawful activity, or a material violation of these terms.
- Use of the service creates a significant security risk or threatens the stability of infrastructure or other users.
- We are required to act by law, a competent authority, or an applicable infrastructure or network provider.
- A service must be withdrawn for operational or other legitimate reasons.
Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before taking action. Immediate action may be necessary for urgent security threats, serious abuse, legal requirements, or risks to infrastructure.
When a service is suspended or terminated, you remain responsible for charges already incurred, subject to applicable law. Refund eligibility, if any, will be assessed under the applicable refund policy and the circumstances of the case.
12. Third-Party Software and Services
Some VPS products may support or include operating systems, control panels, applications, or other third-party software. Such products may be governed by separate licenses, terms, or usage restrictions.
You are responsible for obtaining and maintaining any licenses required for software you install or use, unless the applicable product description expressly states that a license is included.
MemoVPS Store is not responsible for the independent operation, availability, policies, or changes of third-party services beyond responsibilities imposed by applicable law or expressly accepted in a separate agreement.
13. Intellectual Property
Website text, branding, design elements, and other materials owned by MemoVPS Store are protected by applicable intellectual property laws. You may not reproduce, distribute, or commercially exploit these materials without permission, except as permitted by law.
You retain the rights you hold in your own content and data. You grant us only the limited rights reasonably necessary to provide the services you order, operate the website, and address security or legal requirements.
You must ensure that your use of hosted content and software does not infringe the rights of others.
14. Privacy and Personal Information
Personal information submitted through our website or during an order is handled in accordance with our Privacy Policy.
We may use relevant account, order, technical, and transaction information to process orders, provide support, maintain service security, prevent fraud, and meet applicable legal obligations.
Payment details may be processed by the payment provider selected at checkout. Please review the provider's own privacy terms for information about its handling of payment data.
15. Disclaimers and Limitation of Liability
To the extent permitted by applicable law, services are provided according to the specifications and commitments expressly stated in the applicable product description or separate agreement. We do not make additional implied promises about suitability for a particular purpose, uninterrupted availability, or compatibility with every third-party application.
To the extent permitted by law, MemoVPS Store will not be liable for indirect, incidental, special, or consequential losses, including loss of profits, business opportunities, or data, arising from the use of or inability to use a service.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including any mandatory consumer rights or other non-waivable legal protections.
You remain responsible for maintaining backups and for evaluating whether a VPS configuration is suitable for your intended workload.
16. Indemnification
To the extent permitted by applicable law, you are responsible for losses, claims, or reasonable costs arising from your unlawful use of the services, your material breach of these terms, or your infringement of another party's rights.
This section does not apply to the extent a claim results from our own breach, negligence, unlawful conduct, or other circumstances for which you cannot legally be held responsible.
17. Changes to These Terms
We may update these Terms of Service to reflect changes to our services, operational practices, security requirements, or applicable law.
Updated terms will be published on this page. Where required by law, or where a change materially affects existing customers, we will provide notice through an appropriate channel and allow any required notice period.
Changes will not remove rights that have already accrued or override mandatory legal protections. If you do not agree with a change, you may stop using the affected service and request cancellation in accordance with the applicable terms.
18. Governing Law and Disputes
These terms are subject to the laws that apply to the relevant transaction and service, taking account of any mandatory legal protections that apply to you.
We encourage customers to contact us first to seek a practical resolution to any concern regarding an order, payment, or service. Nothing in this section prevents either party from exercising rights available under applicable law.
19. General Provisions
If any provision of these terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Our failure to enforce a provision on one occasion does not automatically waive our right to enforce it later.
These terms, together with applicable product descriptions, order confirmations, and policies referenced herein, form the agreement governing your use of the relevant services. If a separate written agreement expressly conflicts with these terms, the separate agreement will govern to the extent of that conflict.
